Position Summary

The successful candidate for this role will report directly to the VP - General Counsel and Corporate Secretary and will have primary responsibility for the Company's mergers, acquisitions, divestiture transactions and corporate governance. The Senior Legal Director will be responsible for setting the strategic direction for the company's corporate governance while serving as a partner to key business leaders across the company.

You will use both a business and a legal approach, requiring responsibilities and competencies in various areas of corporate law, negotiation, deal-structuring, corporate governance, and risk management to maximize opportunity and minimize liability.

General Legal Function Responsibilities

  • Provide legal counsel and guidance with focus on effective problem solving and solutions orientation.
  • Research, identify, and evaluate risk factors and legal issues that could impact operations or business objectives. 
  • Drive continuous organizational improvement by seeking ways to impact the end consumer, prioritize, and innovate with enforcing compliance and business ethics.
  • Accountable to execute on the talent strategy by focusing on evaluating potential and ensuring that associates receive the development and coaching required to realize their full potential.

Corporate Governance Responsibilities

  • Manage the Company's corporate governance function, including design and management of subsidiary entity structure and director appointments, annual filings and other reporting obligations, resolutions, and inter-company agreements. 
  • Advises the Company's Leadership team with respect to global disclosure matters and corporate law requirements.
  • Analyze trends and best practices on corporate governance matters, including environmental, social and governance (ESG) developments and reporting.
  • Participates in the definition and development of corporate policies, procedures, and programs around corporate governance, and provides continuing counsel and guidance on legal matters and on legal implications.
  • Advises on trade regulatory matters, including import and export, licensing, and other filings.
  • Prepare and review various corporate resolutions and other related documents.

Mergers and Acquisitions Responsibilities

  • Oversee and advise on all legal activity in the Americas, EMEA and ASPAC on mergers and acquisitions, investments, corporate restructurings, and divestments of existing businesses, new corporate venture activities and the negotiation and setting up of affiliates and joint ventures and providing coordination and support on global transactions.
  • Work with the internal businesses and multiple cross-functional teams in structuring complex transactions; identifying risks and concerns while presenting potential alternatives and solutions to challenging deal matters and business issues.
  • Structure, draft, negotiate and participate in the review and approval of various transaction documents associated with M&A and strategic investments, including regulatory disclosures and filings, with support from outside counsel as appropriate.
  • Draft and review of non-disclosure agreements, as needed.
  • Develop, implement, and help improve internal processes, procedures, and templates to support new business activities and growth.
  • Organize and maintain a repository of M&A legal resources and documents that are required for company business needs.


  • A Juris Doctorate from an accredited law school and licensed to practice law in the State of Wisconsin.
  • At least 10 years of legal experience, of which at least 5 years are spent directly on corporate governance and mergers and acquisition matters at a law firm or Corporate legal department.
  • Must possess a solid understanding of structural and corporate issues pertaining to M&A transactions to advise Leadership and internal stakeholders appropriately.
  • Strong experience in negotiating and structuring complex transactions including acquisitions, investments, JVs, and other partnerships and investments.
  • Strong financial and tax acumen and ability to understand and advise on a variety of M&A transaction structures.
  • Working knowledge and experience providing legal advice in connection with manufacturing, sale, and distribution activities.
  • Experience working with domestic and international companies in the engineering, manufacturing, construction, or related businesses preferred.
  • Excellent written and verbal communication skills and the ability to work well with business colleagues, clients, outside counsel and opposing counsel.
  • Strategic problem solver who can read situations quickly and step up to challenges, seeing them as opportunities.
  • Strong analytical and negotiation skills along with a high degree of initiative and self-direction to work independently and within a team.
  • Must possess sound character and excellent legal and business judgment.
  • Ability to prioritize and effectively manage a large variety and number of matters.
  • Highest degree of professional discretion and confidentiality.
  • Previous leadership with proven ability to impact engagement, culture and results required.
